Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Digitize Labs LLC ("ToFee", "we", "us", or "our"), governing your access to and use of the ToFee platform, website (tofee.me), and related services (collectively, the "Service").

By creating an account or using the Service, you confirm that you are at least 16 years old, that you have read and understood these Terms, and that you agree to be bound by them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

ToFee is a creator monetisation platform that allows creators to accept one-time donations, sell digital products, and offer paid memberships to their audience. Supporters can financially back creators they love through the platform.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where possible.

You must create an account to use certain features. You agree to provide accurate, current, and complete information and to keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@tofee.me if you suspect unauthorised access.

You may not create accounts using automated means, share your account with others, or maintain more than one creator account without our written consent.

As a creator on ToFee, you agree to:

• Publish only content that you own or have the right to distribute
• Accurately represent what supporters receive in exchange for their payments
• Fulfil any commitments made to supporters in a timely manner
• Provide accurate payout account information and keep it current
• Comply with all applicable tax obligations in your jurisdiction; ToFee is not responsible for your taxes
• Not use the Service to fundraise for political campaigns unless expressly permitted

As a supporter, you agree to:

• Only make payments using payment methods you are authorised to use
• Not initiate fraudulent chargebacks or payment disputes without first contacting us
• Not use the platform to harass, spam, or abuse creators

Platform fee: ToFee charges a 0% platform fee. You keep everything you earn, subject only to payment processing, currency conversion, and payout fees charged by our payment partners, and any applicable taxes.

Payment processing: Payments are processed by third-party providers (including mobile money operators, card networks, and digital wallet services). By making or receiving payments, you also agree to their terms.

Payouts: Creators may receive payouts via mobile money, digital wallet, or bank/debit card, subject to eligibility requirements and applicable laws. Payout timelines and minimum amounts are described in the Help Center and may vary by provider and country.

Refunds: Supporters may contact us within 7 days of a payment if they believe they were charged in error. We reserve the right to issue refunds at our discretion. Creators may set their own refund policies for membership or shop purchases, but must honour them.

Fraud and chargebacks: We reserve the right to withhold or reverse payouts if we detect fraudulent activity or receive a chargeback. Creators are liable for chargebacks resulting from their own content or fulfilment failures.

You may not use the Service to post, sell, or facilitate:

• Content that is illegal, defamatory, fraudulent, or violates third-party rights
• Adult or sexually explicit content (unless operating in a jurisdiction where this is legal and you have received explicit written approval from ToFee)
• Violence, hate speech, or content that promotes discrimination
• Malware, phishing, or any other harmful software
• Pyramid schemes, multi-level marketing, or deceptive fundraising
• Sale of regulated goods including weapons, controlled substances, or financial instruments without appropriate licences
• Content that infringes intellectual property rights of others

We reserve the right to remove any content and suspend or terminate accounts that violate these prohibitions without prior notice.

Your content: You retain ownership of all content you post on ToFee. By uploading content, you grant ToFee a worldwide, non-exclusive, royalty-free licence to display, distribute, and promote your content solely for the purpose of operating and marketing the Service.

ToFee's IP: The ToFee name, logo, platform software, and design are owned by Digitize Labs LLC and protected by intellectual property laws. You may not copy, reproduce, or create derivative works from our IP without written permission.

DMCA / Copyright complaints: If you believe content on ToFee infringes your copyright, please send a notice to legal@tofee.me with the information required under the DMCA or your applicable local law.

You may close your account at any time through your account settings or by contacting support. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your public creator page will be taken down. Pending payouts will be processed unless there are outstanding disputes or fraud investigations. We are not liable for any loss resulting from termination of your account in accordance with these Terms.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose or uninterrupted availability.

To the maximum extent permitted by applicable law, Digitize Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to ToFee in the 12 months preceding the claim, or (b) USD 100.

You agree to indemnify and hold harmless Digitize Labs LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

If you are a consumer located in the European Union, you may also have the right to bring proceedings in your local courts.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the new Terms take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
